Hong Kong Company Formation in 2026

Ten Key Takeaways

  1. Foreign directors are permitted; there is no statutory Hong Kong residency requirement for directors.
  2. A private company needs at least one natural-person director.
  3. The company secretary must satisfy Hong Kong presence requirements.
  4. A registered office does not prove actual trading substance.
  5. Significant controllers must be identified and the relevant register maintained.
  6. Registry incorporation fees exclude business registration and professional charges.
  7. Corporate profits tax may apply at 8.25% and 16.5% under the two-tier regime.
  8. Annual returns for private companies generally fall due within 42 days after the incorporation anniversary.
  9. Financial statements generally require an audit, with a statutory dormant-company exception.
  10. Banking eligibility is assessed separately and cannot be guaranteed.

Executive Overview

A Structure to Assess, Not a Tax or Banking Outcome

Hong Kong provides an established company-law framework and an international business environment. A Hong Kong company may be appropriate for genuine trade, investment or group arrangements, but its suitability depends on commercial purpose, governance, operating geography and recurring obligations. Incorporation does not automatically establish bankability, a particular profits-tax outcome or regulatory permission.

Decisions Before Registration

Identify the shareholders, ultimate controllers, directors, company secretary and registered office. Document where contracts are negotiated, services are performed and decisions are taken. Prepare a realistic payment profile and a complete initial and annual cost budget.

Seven-Step Formation Workflow

  1. Define the business rationale.
  2. Map ownership and control.
  3. Confirm the director, secretary and registered office.
  4. Assess tax and licensing.
  5. Prepare evidence and banking requirements.
  6. Incorporate and register the business.
  7. Maintain statutory filings, accounts and records.

Why Hong Kong and Which Company?

Commercial Rationale

Hong Kong can serve businesses with substantive Asian trade, regional investment or corporate administration needs. Compare it against the location of employees, customers, contracts, decision-makers and assets. A registered entity without a coherent operating rationale can create unnecessary cost and tax uncertainty.

Entity Choice

A local private company limited by shares differs from a registered non-Hong Kong company or other specialist entity. Choose the legal form before finalising constitutional documents, shareholding and directors’ powers. Regulated financial and other activities may require separate authorisation.

Cross-Border Considerations

Assess home-country shareholder taxation, foreign tax residence, permanent establishments, transfer pricing and reporting obligations. Do not assume that offshore shareholders or customers automatically produce an offshore profits-tax outcome.

Directors, Secretary and Office

Directors

A Hong Kong private company must have at least one director who is a natural person. Non-Hong Kong residents may be directors. The sole director cannot also be the company secretary. Corporate directorships, where permitted, do not replace the natural-person director requirement.

Company Secretary

If an individual, the secretary must ordinarily reside in Hong Kong; if a body corporate, its registered or principal office must be in Hong Kong. The secretary supports governance, registers and timely statutory notifications. Confirm the legal and licensing status of professional providers.

Registered Office

Maintain a registered office in Hong Kong. Its existence does not, by itself, establish a physical operating presence or determine the source of profits.

Incorporation and Ownership Transparency

Formation Filing

For a local company limited by shares, the incorporation package generally includes Form NNC1, articles of association and business registration notice IRBR1. File electronically or in hard copy with the correct statutory charges. Verify proposed names, addresses, appointments and share details before submission.

Significant Controllers Register

An applicable unlisted local company must maintain a significant controllers register in Hong Kong; it is not ordinarily delivered to the Companies Registry for public filing. More than 25% of shares or voting rights is among the tests, alongside board appointment and other control rights. A designated representative must be appointed.

Complex Ownership

Trace control through intermediate companies, trusts and nominees as required. Ensure the ownership chart matches corporate documents, bank submissions and beneficial ownership records.

Profits Tax and Corporate Banking

Two-Tier Profits Tax

The Inland Revenue Department states that the two-tiered profits tax rates for corporations are 8.25% on the first HK$2 million of assessable profits and 16.5% above that threshold, subject to connected-entity and other rules. Source-of-profits analysis is fact-specific; incorporation alone does not settle tax treatment.

Banking Readiness

Banks and payment providers may assess ultimate ownership, directors, counterparties, source of funds, contracts, operating countries, transaction volumes and currencies. A certificate of incorporation does not confer a right to a bank account.

Product Fit

Assess domestic and international payment needs, account currencies, transaction limits, user access, fees and the legal nature of the product. Banking decisions remain with the provider.

Accounts and Ongoing Obligations

Annual Return

A local private company generally files Form NAR1 within 42 days after each incorporation anniversary, except the year of incorporation. The timely Registry fee is HK$105, with materially higher charges for late delivery.

Accounts and Audit

Directors generally prepare annual financial statements and arrange an audit. Eligibility for simplified financial reporting does not itself remove the audit requirement; the statutory dormant-company exception must be considered separately.

Change Notifications and Compliance Calendar

Appointments and departures of directors or the secretary generally require Form ND2A within 15 days. Maintain registers, accounting records, beneficial ownership information, business registration, tax submissions and relevant licences.

2026 Statutory Fee Framework

Registry Incorporation

HK$1,545 for electronic incorporation of a local company having share capital; HK$1,720 for hard-copy incorporation. These are Registry fees only.

Business Registration 2026–27

For a one-year certificate with commencement from 1 April 2026 to 31 March 2027, the published business registration fee is HK$2,200 plus a HK$150 levy: HK$2,350 total.

Illustrative Statutory Starting Total

Electronic incorporation HK$1,545 plus the applicable one-year business registration charge HK$2,350 gives HK$3,895 in those statutory charges only. This excludes all professional fees and any additional services.

Recurring Charges

The timely annual return fee is HK$105. Separately budget for company secretary, registered office, business registration renewal, accounts, audit, tax and ongoing administration. Obtain a current itemised quotation.
