Company Formation & Corporate Services
Establish a Spanish S.L. with ownership, capital, notarial incorporation, beneficial-owner and operating requirements coordinated around the business.
Spain's Sociedad Limitada (S.L.) is the natural private-company form for many entrepreneurs, family businesses and international subsidiaries entering the Spanish market. It combines limited shareholder liability with a corporate form understood throughout the EU and can be established with a very low statutory capital threshold.
Since the Create and Grow reforms, an S.L. can be formed with capital from €1. That change made entrepreneurship more accessible, but it did not turn €1 into a sensible funding strategy. Companies formed below €3,000 are subject to additional creditor-protection rules until their capital and reserves reach the statutory benchmark.
An S.L. can now be incorporated with share capital from €1. Where capital is below €3,000, the company must allocate at least 20% of annual profit to the legal reserve until capital plus reserve reaches €3,000, and special shareholder liability can arise on liquidation if assets are insufficient.
For many operating businesses, simply subscribing €3,000 or more may be commercially cleaner. The right amount should follow the business plan rather than an instinct to use the smallest permitted figure.
The shareholders execute the public deed before a Spanish notary and the company is entered in the Mercantile Register. The deed and articles establish ownership, administrators, capital and governance.
Foreign shareholders and directors may need Spanish identification numbers and properly prepared corporate documents. Those cross-border formalities should be coordinated before the notarial appointment rather than allowed to delay execution.
For businesses genuinely operating in Spain, the S.L. provides access to a large domestic market, the EU single market and a developed infrastructure for tourism, services, technology, manufacturing and international trade.
Tax, VAT, accounting, payroll, social security, beneficial ownership, licences and banking then determine how the company operates. International groups should also establish intercompany and transfer-pricing arrangements early.
We begin with shareholders, management, activity and funding, decide whether sub-€3,000 capital is genuinely appropriate and then coordinate identification, KYC, notarial and registry workstreams.
After registration we identify tax, VAT, accounting, payroll, licensing and banking requirements. The objective is to use Spain's flexible capital regime intelligently rather than treating €1 as the defining feature of the company.
Coutts Consultants coordinates the Spanish S.L. capital, foreign-shareholder, notarial and implementation workstreams around the intended Spanish operation.
Confirmed after initial review of ownership, capital, notarial and operating requirements
