Regulatory, Compliance & Licensing
Review and regularise a UAE company's beneficial-owner, shareholder and nominee records under the current federal transparency framework.
Beneficial ownership in the UAE is no longer a one-off incorporation disclosure. The federal framework requires legal persons to identify the individuals who ultimately own or control them, maintain prescribed registers and update information when ownership or control changes.
For straightforward founder-owned companies this can be relatively simple. For groups involving overseas holding companies, trusts, nominee arrangements or several layers of ownership, identifying the correct natural persons and evidencing the control chain can become a meaningful governance exercise.
Cabinet Decision No. 109 of 2023 regulates beneficial-owner procedures and requires legal persons to maintain information on partners or shareholders and the individuals who ultimately meet the ownership or control tests.
A corporate shareholder therefore does not end the analysis. The ownership chain needs to be traced until the relevant natural persons or other prescribed outcome is identified.
The Decision requires changes to shareholder-register information to be updated within 15 days of the legal person becoming aware of them, and it contains corresponding obligations around nominee board-member information.
A company that updates its licence but leaves its internal ownership registers untouched can therefore create inconsistencies between corporate, bank and regulatory records.
Banks, auditors, tax advisers and counterparties frequently request the same ownership evidence. A current structure chart and coherent beneficial-owner file can reduce friction across onboarding, financing, tax and transaction due diligence.
For family or group structures, the review can also expose governance issues that are not strictly regulatory — such as unclear authority or outdated shareholder records.
We map direct and indirect ownership, voting and other control rights, compare them with the company's current registers and licensing records, and identify discrepancies or missing evidence.
Required updates are then coordinated with the relevant corporate-service or licensing channels. The objective is an ownership file that is legally current and can also withstand practical bank, auditor and counterparty scrutiny. The review is particularly valuable before a bank onboarding, share transfer, restructuring or licence renewal, when inconsistencies between historic corporate records and the current ownership chain are most likely to surface. Resolving them proactively is generally easier than explaining them during a time-sensitive transaction.
