Business Advisory & International Expansion
Establish a UAE holding company with jurisdiction, ownership, governance, subsidiary and tax considerations coordinated around the wider group.
A UAE holding company can provide a clear centre of ownership for regional subsidiaries, investments and intellectual property, particularly where shareholders or management already have a genuine connection to the Emirates. The UAE's treaty network, professional infrastructure and role as a regional headquarters location can make that proposition commercially compelling.
But 'UAE holding company' is not a legal form in itself. The vehicle might be a mainland LLC, a free zone company or a specialist entity in a financial free zone, and the right answer depends on what it will own, where decisions will be taken, how it will be funded and what transactions will flow through it.
A simple family investment holding vehicle and the regional parent of a multinational operating group may need very different governance, premises and regulatory environments. The choice between mainland, a conventional free zone and a financial free zone should therefore follow the assets and group strategy.
Banking and counterparty expectations also matter. A holding company that will borrow, acquire businesses or receive substantial dividends needs a structure capable of supporting that activity over time.
The UAE corporate-tax regime includes exemptions and reliefs that can be relevant to qualifying shareholdings and group transactions, but the conditions are technical and should be tested against the actual ownership and transaction.
Related-party dealings and transfer pricing also need to be considered. A holding company that charges management fees, lends to subsidiaries or owns intellectual property is doing more than passively holding shares.
Board decision-making, signatories, records and the location of management should be consistent with the commercial rationale for placing the parent in the UAE. A company described as regional headquarters should have governance and activity that make that description credible.
For family-owned groups, shareholder rights and succession may also need to be built into the parent rather than left fragmented across operating subsidiaries.
We map the shareholders, subsidiaries, assets, funding and future acquisitions before selecting the UAE vehicle and jurisdiction. Governance, KYC, beneficial ownership and formation are then coordinated around that group design.
Specialist tax advice is integrated before shares, loans or assets are transferred. The objective is a UAE parent that simplifies the group and supports future growth rather than adding another layer with no clear function.
