International Trade & Market Entry
Structure a UAE joint venture with ownership, governance, reserved matters, funding and licensing coordinated around the partners' commercial agreement.
The UAE's modern foreign-ownership regime means a local partner is no longer required merely to satisfy an historic 51/49 formula across many activities. That changes the logic of joint ventures: where two parties now share ownership, it should be because each contributes genuine commercial value, not because the structure needs a nominal shareholder.
This creates an opportunity to design UAE JVs more intelligently. Market access, technology, capital, licences, customer relationships and operating expertise can be reflected in ownership and governance rather than hidden behind a statutory ownership constraint.
The parties should identify what each contributes — cash, intellectual property, contracts, people, licences or market access — before settling percentages.
Voting, board representation and reserved matters can then be designed around the commercial bargain rather than assuming share percentage alone provides adequate protection.
A 50/50 venture can become paralysed if the parties have no escalation or deadlock mechanism. Future capital calls can create similar tension if one party cannot or will not fund.
Shareholder documents should address additional funding, dilution, transfer rights, default and exit while the partners remain aligned.
Mainland, free-zone and specialist jurisdictions can produce different operating rights and approval requirements. The JV's customers, premises and regulated activity should determine the platform.
Where one partner contributes an existing licence, asset or contract, transfer and consent requirements should be reviewed before the new venture relies on it.
We begin with contributions, economics, governance, activity and exit, then compare the appropriate UAE jurisdiction and coordinate the corporate and licensing workstreams.
Legal documentation, KYC, tax, beneficial ownership and operational implementation are aligned with the agreed commercial terms. The objective is a genuine strategic partnership capable of surviving disagreement as well as benefiting from cooperation.
Coutts Consultants coordinates UAE joint-venture commercial terms, jurisdiction, governance and implementation around the partners' genuine strategic contributions.
