Company Formation & Corporate Services
Establish a US nonprofit entity and coordinate IRS 501(c)(3) recognition, governance, charitable-purpose and continuing compliance requirements.
A state-law nonprofit entity and federal recognition under section 501(c)(3) are related but distinct concepts; qualifying organisations can include corporations, eligible LLCs, unincorporated associations and trusts. State law creates or governs the chosen legal form, while federal recognition is obtained through the IRS where the organisation satisfies the statutory organisational and operational tests, subject to the limited categories that can be exempt without filing an application.
For charities, foundations, educational organisations and mission-led initiatives, that distinction matters from the beginning. The articles, purpose, asset-dedication language, board and planned activities should be capable of supporting the exemption application rather than being rewritten after incorporation.
IRS Form 1023 guidance requires the organisation to be organised and operated exclusively for one or more qualifying exempt purposes. The organising document must limit the purposes appropriately and permanently dedicate assets to exempt purposes.
A generic commercial corporation constitution can therefore be a poor starting point for a charity. State incorporation and federal exemption planning should be coordinated from the outset.
The IRS asks for detailed information about past, present and planned activities, governance, officers and financial information. Certain eligible smaller organisations can use Form 1023-EZ, but eligibility must be tested through the prescribed worksheet.
The application should describe how the organisation will actually operate, not simply repeat its charitable objects. Revenue, grants, compensation and relationships with insiders can all affect the review.
Recognition under section 501(c)(3) can make qualifying contributions tax deductible, but the organisation also enters an annual reporting and governance framework. Private benefit, political campaign intervention and other restricted activities need to be controlled.
State charitable registration and fundraising requirements can also apply independently of the IRS determination.
We begin with the mission, activities, founders, board, funding and states involved, then coordinate the state entity, governing documents and exemption application with US nonprofit counsel and tax professionals.
Annual reporting, state charity registrations and governance are mapped before launch. The objective is a functioning mission-led organisation whose legal and tax structure supports the work it intends to carry out.
Coutts Consultants coordinates US nonprofit formation, governance and 501(c)(3) application workstreams around the organisation's genuine exempt purpose, with specialist US legal/tax input.
