Company Formation & Corporate Services
Re-domicile an eligible overseas company into Hong Kong under the inward company re-domiciliation regime while preserving corporate identity and continuity.
Hong Kong's inward company re-domiciliation regime changed the market-entry landscape in May 2025. Eligible non-Hong Kong companies can now transfer their domicile to Hong Kong while preserving legal identity, property, rights and obligations rather than incorporating a new entity and transferring the business into it.
For international groups, that can be materially cleaner where contracts, assets, financing or corporate history make continuity valuable. The route remains conditional: the company's original jurisdiction must permit outward re-domiciliation and the Hong Kong statutory requirements must be satisfied.
The Companies Registry confirms that the regime commenced on 23 May 2025 and allows eligible non-Hong Kong companies to become Hong Kong re-domiciled companies without creating a new legal entity.
That continuity can reduce the need for asset novations and ownership transfers, although contracts, licences and financing should still be checked for consent or notification requirements.
The applicant must be an eligible company type and its place of incorporation must permit outward re-domiciliation. Solvency, member approval, creditor protection and other statutory conditions also form part of the Hong Kong application.
A two-jurisdiction legal review should therefore occur before the company commits to the migration.
Hong Kong tax residence, profits tax, foreign-sourced income and any departure-country tax consequences should be assessed before re-domiciliation. A regulated business may also require supervisory approvals.
Banking, employees, licences and group records should be included in the transition plan even though legal personality continues.
Coutts Consultants maps the company, original jurisdiction, assets, contracts and Hong Kong objective, then coordinates legal, tax and Registry workstreams across the migration.
The objective is to preserve the company's identity while moving its corporate home cleanly into Hong Kong, rather than recreate the business inside a new shell. The 2025 regime also makes post-registration housekeeping important: once re-domiciled, the company enters the Hong Kong Companies Ordinance framework and should update governance, tax, business registration and stakeholder records so continuity of legal identity does not become continuity of outdated administration.
Coutts Consultants coordinates Hong Kong inward re-domiciliation eligibility, corporate, tax and implementation workstreams around the value of preserving the existing company's legal identity.
