Company Formation & Corporate Services
Assess a proposed move of corporate domicile to the UK against the developing re-domiciliation regime and currently available restructuring alternatives.
Moving the legal home of a company is very different from moving its management, assets or trading operations. The UK does not currently have an operative statutory corporate re-domiciliation regime. In March 2026 the Government consulted on the detailed design of a proposed inward regime that would allow an overseas company to move its place of incorporation to the UK while retaining legal identity; until legislation is enacted and commenced, clients need to work with the restructuring routes that are actually available.
For an international group, the real objective may be achievable through a reorganisation, new holding company, cross-border merger alternative or transfer of business even where direct continuation is unavailable. The correct solution starts with the commercial outcome rather than the label 'redomiciliation'.
A statutory continuation into the UK is not currently available under an operative UK regime. If and when the proposed framework becomes law, any continuation would still depend on the departure jurisdiction permitting the move and the company satisfying the eventual UK entry conditions. Corporate form, solvency, regulatory status and creditor protections can all matter.
For a transaction being implemented now, the analysis should therefore begin with the available restructuring alternatives and a two-jurisdiction legal review rather than assuming that a company can simply continue into the UK.
Changing the incorporation jurisdiction does not automatically settle where the company is tax resident. Management, assets, exit charges and shareholder consequences can create a different tax result from the corporate-law result.
Tax advice should be integrated before any migration steps are taken, particularly where valuable assets or intellectual property sit inside the company.
A new UK parent, share-for-share exchange, business transfer or subsidiary structure may sometimes deliver the desired governance, investor or market-access outcome more efficiently than a direct continuation.
The best route is the one that preserves contracts, licences and value while achieving the intended ownership and jurisdictional result.
We define the desired end-state, map the existing company, assets, shareholders and licences and coordinate UK and foreign legal/tax analysis of the available routes.
Only then is the implementation structure selected. The objective is a defensible migration or reorganisation that solves the commercial problem rather than forcing the transaction into a particular legal label.
Coutts Consultants coordinates UK corporate re-domiciliation readiness and currently available migration/reorganisation alternatives around the client's desired end-state, with specialist legal and tax advice in all relevant jurisdictions.
Confirmed after both jurisdictions and the company's tax, asset and regulatory profile are reviewed
