Hong Kong Profits Tax & Compliance Setup

Hong Kong

Establish Hong Kong profits-tax, accounting and annual compliance around the company's activities, source of profits and two-tiered rates.

Hong Kong's tax system is often described in a single sentence — low rates and territorial taxation — but a serious business needs more than a headline. The profits-tax position depends on what profits arise, where the profit-producing operations occur, whether exemptions or preferential regimes apply and how the company evidences its conclusions.

For a new international business, the strongest approach is to build accounting and source analysis into the operating model before the first tax return. That makes the territorial system a framework the company can explain rather than a slogan it hopes to rely upon.

The two-tiered profits-tax rates need proper context

The Inland Revenue Department currently applies the two-tiered regime to corporations at 8.25% on the first HK$2 million of assessable profits and 16.5% on the remainder, subject to the connected-entity restriction on which entity can benefit.

The rate does not answer whether particular profits are Hong Kong sourced. Rate and source are separate questions.

Territorial taxation is fact-driven

Hong Kong generally taxes profits arising in or derived from Hong Kong from a trade, profession or business carried on there. The source analysis looks to the operations that produced the relevant profits.

Contracts, staff, negotiations, services and transaction execution can therefore matter. An offshore claim should be supported by the company's actual operating facts and records.

International groups need to consider modern anti-avoidance rules

Hong Kong's foreign-sourced income exemption regime can apply to specified foreign-sourced income received in Hong Kong by members of multinational enterprise groups, subject to the relevant economic-substance, participation or nexus conditions.

Transfer pricing and related-party transactions can also require separate analysis. The traditional territorial system now sits inside a more developed international-tax framework.
