Company Formation & Corporate Services
Establish an Indian private limited company with resident-director, ownership, MCA incorporation, foreign-investment and operating requirements coordinated.
India offers international businesses scale that few jurisdictions can match: a vast consumer market, a deep technology and professional workforce and expanding opportunities across manufacturing, services and digital commerce. The private limited company is the standard corporate vehicle for many foreign-owned subsidiaries and growth businesses entering that market.
Company law has become more accessible than older formation guides suggest. The former statutory minimum paid-up capital requirement was removed, but a private company still needs at least two members, at least two directors and the required Indian-resident director. For an overseas investor, foreign-investment policy and the actual sector remain just as important as the MCA filing.
The Companies Act was amended in 2015 to remove the former ₹100,000 minimum paid-up capital wording for a private company. Capital can therefore be set around the business rather than an obsolete incorporation threshold.
That flexibility should be used commercially. A subsidiary employing staff, renting premises, importing goods or seeking banking facilities should be funded for those commitments, and any sector-specific foreign-investment or licensing requirements should be reflected in the capital plan.
Current Invest India guidance confirms that a private company requires at least two directors and that one resident director is mandatory. The company also needs at least two members, although corporate shareholders can participate within the applicable framework.
For an international group, the resident-director solution should be genuine governance rather than a nominal appointment. Board authority, parent approvals and the way strategic decisions are taken should be designed before banking and contracts are put in place.
India permits substantial foreign investment under the automatic route across many sectors, while others require government approval or carry conditions and caps. The activity should therefore be checked against the current FDI policy before ownership is treated as settled.
MCA incorporation, PAN/TAN, GST where applicable, payroll, employment, sector licences and banking then build the operating subsidiary around that investment position. Intercompany agreements and transfer pricing should also be addressed early.
We begin with the investor, sector, ownership, resident-director solution, funding and Indian operating footprint, then coordinate KYC, constitutional and MCA incorporation workstreams.
After formation we identify FDI reporting, tax, GST, payroll, licensing and banking requirements. The objective is an Indian subsidiary designed for the market opportunity and the investor's wider group, not simply a company incorporated because the legal capital threshold is low.
Coutts Consultants coordinates the Indian private-company resident-director, foreign-investment, MCA and implementation workstreams around the client's market-entry strategy.
