Company Formation & Corporate Services
Establish an Irish LTD with director, EEA-residency, constitution, beneficial-ownership and CRO registration requirements coordinated around the intended business.
An Irish private company limited by shares (LTD) is the standard company form for most privately owned Irish businesses and subsidiaries. It offers a flexible single-document constitution and can have a single shareholder, making it suitable for both founder-owned companies and international groups.
The apparent simplicity of CRO registration should not obscure the director-residency, beneficial-ownership, tax and operating requirements that determine whether the company is properly established.
An Irish LTD may have one director, but where it has only one director it must appoint a separate company secretary. Irish company law also generally requires at least one director resident in the European Economic Area unless an available statutory alternative, such as the prescribed bond or relevant certificate route, is used.
For an overseas-owned subsidiary, the board should be designed around genuine governance rather than selecting a director solely to satisfy the registration form.
An LTD has a single-document constitution and does not state objects in the same way as older private-company forms. It can therefore conduct any lawful activity, subject to licensing and regulatory requirements.
Share ownership, director powers and any shareholder agreement should nevertheless reflect the commercial relationship, particularly for joint ventures or investment structures.
After incorporation with the Companies Registration Office, the company must address beneficial-ownership registration, Revenue registrations, accounting and annual-return obligations.
VAT, payroll, employment, licensing and banking requirements depend on the actual business and should be incorporated into the implementation timetable.
We begin with shareholders, directors, EEA-residency position, activity, funding and the Irish operating footprint before coordinating the constitution, KYC and CRO formation.
After incorporation we identify beneficial-ownership, tax, VAT, accounting, payroll, licensing and banking workstreams, using qualified Irish advisers where required.
Coutts Consultants coordinates the Irish LTD's ownership, director-residency, constitution and implementation workstreams around the client's actual Irish business, including the EEA-resident-director alternatives where relevant.
Confirmed after initial review of ownership, director residency, formation and operating requirements
