Company Formation & Corporate Services
Establish a Seychelles IBC with licensed corporate-service provider, beneficial-owner, accounting and international compliance requirements coordinated.
The Seychelles International Business Company remains a familiar international corporate vehicle, but the modern IBC is very different from the almost maintenance-free offshore company sometimes described in older formation literature. Legislative reforms have strengthened accounting, beneficial-ownership and record-keeping obligations while preserving a flexible company-law framework.
For clients who have a genuine investment, holding or cross-border purpose, that can be a positive development. The Seychelles structure is most defensible when its owners, assets and transactions are transparent and when the company is administered through a reputable licensed provider.
The Financial Services Authority confirms that an IBC is incorporated through an International Corporate Service Provider licensed in Seychelles. The provider liaises with the FSA and becomes the practical gateway to the company's registered office, statutory administration and ongoing compliance.
Choosing the provider is therefore part of choosing the structure. KYC, beneficial ownership, source of funds and the commercial purpose should be prepared before incorporation rather than treated as paperwork that follows it.
The International Business Companies Act provides a versatile corporate framework suitable for international holding, investment and commercial structures. The FSA maintains a consolidated Act reflecting amendments through July 2025, illustrating how actively the regime has evolved.
Accounting records and supporting documents must be maintained in accordance with the current statutory framework, and the company should have an administration process capable of meeting those obligations year after year.
Beneficial-ownership requirements, economic-substance considerations where applicable, tax residence, banking and any regulated activity need to be assessed separately against the company's actual facts.
A Seychelles IBC can be commercially useful in the right structure, but it is a poor choice where the only rationale is secrecy or an assumption that incorporation eliminates reporting in the owner's home jurisdiction.
We begin with the owners, purpose, assets, management and expected transactions, then coordinate the licensed ICSP, KYC, beneficial-owner and incorporation workstreams.
After formation we identify accounting-record, tax, substance, banking and regulatory requirements. The objective is to preserve the IBC's genuine flexibility while ensuring that the company can be operated to the standards expected of a modern international structure.
Coutts Consultants coordinates the Seychelles ICSP, ownership, beneficial-owner and continuing-compliance workstreams around the client's genuine international objective.
Confirmed after initial review of ownership, purpose, ICSP and compliance requirements
