Company Formation & Corporate Services
Establish a Swiss GmbH with CHF 20,000 fully paid capital, Swiss-resident representation, notarial formation and operating requirements coordinated.
A Swiss Gesellschaft mit beschränkter Haftung (GmbH) offers something more valuable than a prestigious jurisdictional label: it places a privately owned business inside one of the world's most stable legal, financial and commercial environments. It is widely used by owner-managed businesses, professional firms and subsidiaries that want a recognisable Swiss operating identity.
The structure is deliberately more substantial than a nominal-capital company. CHF 20,000 of share capital must be fully paid, incorporation is notarised and the company must be capable of representation by at least one person resident in Switzerland.
The Swiss SME portal confirms minimum GmbH capital of CHF 20,000, fully paid or contributed. Contributions can be cash or, subject to the applicable formation rules, assets.
That requirement gives the company a genuine initial capital base, although the commercial funding may need to be higher. For a business taking Swiss premises, employing staff or seeking bank finance, capital should be considered as part of the operating budget rather than simply a formation cost.
A GmbH must be represented by at least one person resident in Switzerland. This can be a managing director or another director with the required authority.
For an international shareholder, the resident-representation solution should be designed around genuine governance and signing authority. The Swiss company's management arrangements should support the way it presents its place of administration to banks, tax authorities and counterparties.
The incorporation documents are notarised and the company is entered in the Commercial Register. Shareholders are publicly registered, giving the GmbH a different transparency profile from some other Swiss legal forms.
Tax, VAT, accounting, payroll, social insurance, permits and banking then follow the activity and canton. The choice of canton can have practical and fiscal consequences and should be considered as part of the location decision.
We begin with shareholders, activity, canton, management, resident representation and capital, then coordinate KYC, banking/capital evidence, notarial formation and Commercial Register workstreams.
The company is subsequently connected to tax, VAT, payroll, social-insurance, licensing and banking requirements. The objective is a Swiss business with substance and governance worthy of the jurisdiction's reputation.
Coutts Consultants coordinates the Swiss GmbH capital, resident-representation, notarial and implementation workstreams around the client's intended Swiss operation.
Confirmed after initial review of ownership, capital, resident representation and operating requirements
