Company Formation & Corporate Services
Register a foreign company branch in Singapore with local authorised representative, ACRA filing, tax and operating requirements coordinated.
For an established overseas company, a Singapore branch can provide direct access to the market without creating a separate subsidiary. The foreign company remains the legal person behind the Singapore operation, which can preserve group identity and contractual continuity where customers or regulators expect to deal with the parent itself.
That same feature changes the risk profile. The branch does not ring-fence Singapore liabilities inside a separate local company, so the decision should be made by comparing legal exposure, tax, accounts, governance and commercial requirements with a Singapore subsidiary.
ACRA registers the foreign company and its Singapore place of business rather than incorporating a new Singapore legal person. The parent company's constitution, directors and corporate status therefore form part of the registration file.
For groups that want the overseas entity itself to contract in Singapore, that continuity can be useful. Where liability separation or local investment is more important, a subsidiary may be cleaner.
A foreign company must appoint the locally resident authorised representative required by the Singapore framework and maintain a registered office in Singapore.
The representative role should be understood properly rather than treated as a postal convenience. Parent approvals, authority and Singapore operating responsibilities should be settled before registration.
A branch can create Singapore tax obligations according to the activity carried on through the establishment. ACRA filing obligations for foreign companies and the parent company's accounts also need to be considered against the applicable rules and exemptions.
GST, payroll, employment passes, licences and banking then follow the actual Singapore operation. Corporate registration and tax presence should be coordinated but not confused.
Coutts Consultants compares branch and subsidiary from the perspective of liability, contracts, tax, accounts and governance before coordinating the foreign-company documents and ACRA registration.
Post-registration tax, payroll, licensing and operating workstreams are then mapped. The objective is to preserve the overseas company where that creates commercial value, not merely to avoid forming a subsidiary.
Coutts Consultants coordinates Singapore branch-versus-subsidiary analysis, foreign-company documentation and ACRA registration around the client's market-entry strategy.
