Company Formation & Corporate Services
Register an overseas company as a non-Hong Kong company with local representative, Companies Registry, Business Registration and operating requirements coordinated.
An overseas company can enter Hong Kong without incorporating a separate subsidiary where it establishes a place of business and registers as a non-Hong Kong company. This preserves the foreign company itself as the contracting legal entity, which can be useful where group identity, licences or existing customer relationships favour direct operation.
The trade-off is that the branch does not create the liability separation of a Hong Kong subsidiary. The parent remains behind the Hong Kong operation, so the choice should be made by comparing liability, tax, accounts, governance and contractual requirements rather than simply formation cost.
The Companies Registry requires prescribed particulars of the non-Hong Kong company, its directors, authorised representative and constitutional documents. The company must also maintain the local representation and filing framework required by the Companies Ordinance.
Corporate documents from the home jurisdiction should be prepared in the required certified form before the Hong Kong registration timetable becomes critical.
A registered non-Hong Kong company must maintain an authorised representative to accept service in Hong Kong within the statutory framework.
That role should be coordinated with the group's governance and local operations rather than treated as a mail-forwarding arrangement.
Hong Kong profits tax is territorial in character and the branch's tax position follows the profits and activities attributable to the Hong Kong operation. Business Registration, employer obligations and other licences can also apply.
The parent company's financial statements and local filing requirements should be reviewed against the current exemptions and Companies Registry rules.
Coutts Consultants compares branch and subsidiary from the perspective of liability, contracts, tax and administration before coordinating the corporate documents, representative and Registry filings.
The objective is to preserve the overseas company where that makes commercial sense, while ensuring the Hong Kong establishment is fully integrated into the parent's compliance framework.
Coutts Consultants coordinates Hong Kong branch-versus-subsidiary analysis, foreign-company documentation and Registry implementation around the client's market-entry strategy.
