Company Formation & Corporate Services
Establish a Singapore private company with resident-director, S$1 share capital, company-secretary, ownership and ACRA requirements coordinated.
Singapore's private company limited by shares remains one of Asia's most compelling corporate platforms. It combines an internationally respected legal system, sophisticated banking and professional services, excellent connectivity and a company form understood by investors and counterparties around the world.
The mechanics are deliberately accessible: a company can start with S$1 in share capital. But Singapore's real proposition is not cheap incorporation. It is the ability to place a properly governed business inside one of the world's most developed commercial ecosystems.
ACRA requires every Singapore company to have at least one ordinarily resident director. The requirement exists so that there is a person in Singapore responsible for the company's compliance, and ACRA has recently reiterated the accountability attached to that role.
For an overseas founder, the resident-director solution should therefore be treated as governance rather than a box to tick. Nominee arrangements can be legitimate, but they do not turn the directorship into a ceremonial appointment.
ACRA confirms that a company requiring share capital can start with at least S$1. That flexibility is useful for a simple subsidiary or early-stage business, but funding should be determined by the operation, banking needs and commitments the company expects to make.
Share classes can also be designed around the ownership and investment model. For founders expecting external capital, those decisions deserve attention before the first shares are issued.
Every company needs a company secretary, who must be appointed within six months of registration. Annual returns, accounting, tax and beneficial-owner or nominee-related obligations then form part of the continuing corporate framework.
Employment passes, GST, payroll, sector licences and banking depend on the actual activity. A Singapore company is powerful because the wider infrastructure works well — provided the business is built to use it properly.
We begin with the shareholders, resident-director solution, activity, funding and governance, then coordinate KYC, ACRA incorporation and the company-secretarial framework.
The company is subsequently connected to tax, GST, payroll, immigration, licensing and banking. The objective is to establish a Singapore platform worthy of the jurisdiction's reputation, not merely to exploit its S$1 entry threshold. Singapore's attraction is also strategic: it can serve as a regional headquarters, contracting or operating base for Southeast Asia, but substance, people and decision-making should match the role claimed for the company. A prestigious address alone does not create a credible regional business.
Coutts Consultants coordinates the Singapore resident-director, ownership, ACRA and company-secretarial workstreams around the client's Asian business strategy.
