Company Formation & Corporate Services
Establish a UAE mainland LLC with foreign ownership, activity licensing, beneficial-owner, premises and corporate-tax requirements coordinated.
The United Arab Emirates has transformed from a jurisdiction associated primarily with free zones into a market where foreign investors can own 100% of many mainland businesses. For companies that want to trade directly across the UAE, contract with a broad customer base or establish a substantial local presence, a mainland limited liability company can be a particularly powerful structure.
The opportunity is not uniform across every activity. Strategic-impact activities and sector-specific businesses can carry different ownership or approval requirements, while each emirate's licensing authority administers the commercial establishment process. The company should therefore be designed around the business, not around a generic promise of “100% ownership”.
The UAE's Commercial Companies framework allows full foreign ownership for many mainland activities, removing the historic requirement for a 51% Emirati shareholder in much of the economy. That change gives international investors far greater control over governance and economics.
Activities with strategic impact or separate regulatory regimes can still be treated differently. The activity code and emirate should therefore be confirmed before the ownership structure is finalised.
A mainland LLC is established through the competent economic department in the relevant emirate, with trade-name, activity, constitutional, beneficial-owner and premises requirements forming part of the project.
The company is valuable because its licence allows it to conduct the approved business. Selecting the wrong activity or assuming a licence covers services it does not include can be more consequential than any issue in the memorandum itself.
Corporate tax has fundamentally changed the compliance landscape, while VAT, accounting, payroll, immigration and beneficial-owner requirements also form part of the operating framework.
For an international group, the UAE company's management, related-party transactions and transfer-pricing position should be considered from the beginning. The old idea that incorporation alone creates a tax-free international vehicle is no longer an adequate description.
We begin with the activity, emirate, investors, ownership and operating footprint, then coordinate the licensing, KYC, beneficial-owner, premises and company-formation workstreams.
The business is subsequently connected to corporate tax, VAT, accounting, payroll, immigration, banking and any sector approvals. The objective is a UAE company designed to trade in the market, not merely hold a commercial licence.
Coutts Consultants coordinates the UAE mainland LLC activity, foreign-ownership, licensing and implementation workstreams around the client's actual commercial strategy.
