Company Formation & Corporate Services
Restructure a UK company's share capital with new classes, rights, allotments or reorganisations coordinated around investment, control or succession.
A company's original share structure often works perfectly until the business changes. New investors arrive, founders want different voting and economic rights, employee participation is introduced or family ownership needs to pass to the next generation. At that point, the share capital should evolve with the commercial reality rather than constrain it.
UK company law offers considerable flexibility, but changing share rights is more than updating a cap table. Articles, shareholder authorities, class rights, Companies House filings, tax consequences and existing agreements all need to point in the same direction.
Creating preference, growth, voting or non-voting shares can separate economic participation from control and allow different investors to hold rights appropriate to their role.
The labels themselves have no magic. The rights written into the articles and resolutions determine what each class actually receives, so the design should begin with the commercial bargain.
Pre-emption rights, investor consents, class protections and shareholders' agreements can limit the company's freedom to issue or redesign shares. Those constraints should be mapped before resolutions are circulated.
A restructuring that is valid under the Companies Act can still breach a private agreement, making legal-document review essential before implementation.
Share exchanges, value shifting, employment-related securities and family transfers can create tax consequences depending on the facts. Valuation can also become important where new rights are introduced.
Specialist UK tax advice should therefore precede implementation where the restructuring changes economic value or involves employees, investors or connected persons.
We map the existing cap table, articles, agreements and desired end-state, then coordinate the share design, approvals, legal documentation and Companies House workstreams.
Tax and valuation specialists are integrated where required. The objective is a capital structure that accurately expresses the ownership deal and remains understandable to investors, banks and future buyers.
Coutts Consultants coordinates UK share-capital restructuring, class-right and implementation workstreams around the client's investment, control or succession objective.
