Company Formation & Corporate Services
Formation of an Anguilla business company with registered-agent, beneficial-ownership, governance and economic-substance considerations coordinated around the intended international activity.
An Anguilla business company can provide a flexible Caribbean corporate platform for international ownership, investment and cross-border activity. The modern proposition, however, is very different from the historic idea of an anonymous offshore company requiring little beyond annual renewal. Anguilla now operates a consolidated Business Companies Act framework alongside commercial-registry, beneficial-ownership and economic-substance requirements.
The useful question is therefore whether Anguilla fits the client's ownership, activity, management and banking requirements — not simply whether a company can be incorporated there quickly.
The Business Companies Act 2022 replaced Anguilla's former Companies Act and International Business Companies Act framework. That matters when older offshore-company material is used as a reference: terminology and assumptions inherited from the former IBC regime can now be misleading.
Before formation we establish what the company will own or do, where it will be managed, the countries in which it will transact and whether the activity could fall within a regulated sector. An ordinary business-company registration does not itself authorise banking, insurance, investment or other regulated financial business.
Formation and continuing administration are coordinated through Anguilla's corporate-services infrastructure and electronic commercial registry. The local provider will require satisfactory KYC, beneficial-ownership and source-of-funds information and will need to understand the commercial purpose of the company.
We therefore prepare the ownership chain and business explanation before filing. This becomes particularly important where the shareholder is another company, a trust or a multi-layered international structure. Beneficial ownership is a compliance obligation even where the public visibility of information differs from an onshore shareholder register.
Anguilla has economic-substance rules for relevant activities. The treatment depends on the company's business and tax-residence facts, so potentially relevant activities should be reviewed before the structure is adopted. The right answer may be to establish the required substance, demonstrate that a particular treatment applies, or use another jurisdiction better aligned with where the business is genuinely managed.
Banking is equally separate from incorporation. Banks and payment institutions assess ownership, source of funds, countries, turnover and transaction flows independently. A certificate of incorporation does not guarantee an account, and a structure that cannot support its intended banking relationship has little practical value.
We establish the purpose, ownership, management and expected transaction profile before coordinating the Anguilla provider, KYC and beneficial-ownership file, incorporation information and initial governance records.
We also identify any banking, accounting, tax, substance or regulatory workstreams requiring separate implementation. Anguilla can be effective for the right international structure; where the facts do not support it, we would rather establish that before incorporation than create a company that is difficult to operate, bank or defend commercially.
Coutts Consultants coordinates the Anguilla registered-agent, corporate, beneficial-ownership and implementation workstreams around the client's genuine international objective, with economic-substance, tax and regulated matters referred to appropriately qualified advisers where required.
