Company Formation & Corporate Services

Australia Proprietary Limited (Pty Ltd) Company Formation

Australia

Formation of an Australian proprietary company limited by shares (Pty Ltd), coordinating resident-director, ownership, ASIC registration and post-incorporation requirements.

An Australian proprietary company limited by shares — normally identified by “Pty Ltd” — is the standard corporate form for many privately owned Australian businesses and subsidiaries of international groups. It provides a separate Australian legal entity and, for the right project, a clear operating platform with limited shareholder liability.

Registration itself is relatively direct. The more important work is deciding how the Australian company will be owned, governed, funded and managed, particularly where the shareholder or parent company is overseas.

The resident-director requirement is a substantive governance issue

A proprietary company must have at least one director who normally lives in Australia. A company secretary is optional, but if one is appointed at least one secretary must normally live in Australia. Directors must also have a director identification number before appointment.

For a foreign-owned subsidiary, the resident-director arrangement should therefore be genuine and sustainable. Australian directorship carries legal responsibilities; it should not be treated as a nominal service required simply to complete an ASIC form. We establish who will actually participate in governance and how the Australian board will interact with the overseas owners before the company is registered.

Ownership, shares and internal rules should be designed before filing

The proposed shares and shareholder particulars form part of the registration and corporate record. Proprietary companies cannot offer shares to the public and are subject to the statutory limit on non-employee members. The company must also maintain its own register of members.

Governance may operate under the Corporations Act replaceable rules, a constitution or a combination of the two. A simple founder-owned company may need little bespoke drafting; an overseas subsidiary, joint venture or investment structure may justify more deliberate constitutional and shareholder arrangements.

Foreign control can materially change the reporting position

The annual reporting position cannot be inferred simply from the company's size. ASIC confirms that small proprietary companies controlled by a foreign company can be required to prepare and lodge financial reports, although specific relief may be available where the statutory conditions are satisfied. This is a significant distinction for international groups that assume a small Australian subsidiary will automatically have the lighter reporting profile of a domestic small proprietary company.

The company may also require an Australian Business Number, tax registrations, GST where applicable, payroll and employment setup, a business name, industry licences and banking before it is ready to trade.

How Coutts Consultants approaches an Australian Pty Ltd

We establish the ownership, resident-director arrangements, business activities, Australian addresses, share structure and governance before coordinating the ASIC registration and initial corporate records.

We then identify and coordinate the ABN, tax, GST, accounting, payroll, licensing and banking workstreams applicable to the business. Where an overseas group is deciding between an Australian subsidiary and registration of the foreign company itself, we can coordinate that structural comparison before either route is implemented.
