Company Formation & Corporate Services
Formation of a Bahamas International Business Company (IBC), coordinating registered-agent, beneficial-ownership, governance, substance and operational requirements around the intended international activity.
A Bahamas International Business Company (IBC) can provide a flexible corporate platform for international ownership, investment, holding and cross-border business. It should not, however, be selected simply because it carries an “offshore” label. The Bahamas has materially modernised its corporate, beneficial-ownership and economic-substance framework, and a credible IBC now depends on the quality of its ownership, compliance and operating plan.
The formation should therefore begin with the company's purpose, management and transaction profile rather than with the filing form.
The International Business Companies Act provides the principal statutory framework for a Bahamas IBC. The company is incorporated through the Registrar of Companies and requires the appropriate Bahamas registered-office and registered-agent arrangements.
The local corporate-services provider will carry out customer due diligence and needs to understand who ultimately owns and controls the company, the source of funds and what the company is expected to do. We prepare that information before filing so that the corporate, beneficial-ownership and later banking records describe the same commercial structure.
The Bahamas operates a statutory beneficial-ownership regime and has continued to update its IBC legislation. The appropriate regulated parties and authorities must therefore be able to identify and evidence the individuals who ultimately own or control the structure; nominee or agency arrangements do not remove that underlying requirement.
The Commercial Entities (Substance Requirements) framework also means that the company's actual activity and tax-residence position can affect its continuing obligations. Potentially relevant activities should be reviewed before incorporation so that the structure is not built on an outdated assumption of minimal local compliance.
An IBC is a corporate vehicle, not a financial-services licence. Where the intended activity is regulated, the licensing perimeter requires separate analysis. Likewise, a foreign-owned company that will actually conduct business within The Bahamas may face business-licence, investment and other local operating requirements.
Banking is a separate approval process. Financial institutions assess ownership, source of wealth and funds, business model, countries and expected transactions independently. The strongest structure is therefore one that can explain why a Bahamas company is commercially appropriate and how it will actually be used.
We establish the commercial purpose, owners, management, assets, markets and expected transaction profile before coordinating the Bahamas corporate-services provider, KYC and beneficial-ownership file, incorporation information and initial governance records.
We then identify any banking, accounting, substance, business-licence, tax or regulatory workstreams required for the actual activity. If the facts point more convincingly to another jurisdiction, that should be established before the client incurs the cost of creating a company that is difficult to operate or justify.
Coutts Consultants coordinates the Bahamas registered-agent, corporate, beneficial-ownership and implementation workstreams around the client's genuine international objective, with substance, tax, licensing and regulated matters referred to appropriately qualified advisers where required.
Confirmed after initial review of ownership, activity, registered-agent and compliance requirements
