Company Formation & Corporate Services
Establish a Belize company under the 2022 Companies Act with licensed registered-agent, beneficial-owner, governance and compliance requirements coordinated.
Belize's corporate regime has changed significantly from the international-business-company model that still dominates older offshore marketing. The Belize Companies Act 2022 created a modern unified company framework, supported by a digital registry and a regulated registered-agent sector.
For an international owner, that modernisation is important. Belize can still provide a flexible corporate vehicle for investment, holding and cross-border activity, but the proposition should now be understood through registered-agent due diligence, beneficial-ownership reporting, economic-substance considerations and the tax rules relevant to what the company actually does.
The Companies Act 2022 recognises companies limited by shares and requires the articles to identify the registered office, registered agent and share structure. The FSC also highlights modern features such as electronic filing and verifiable electronic certificates.
This is a more contemporary framework than the historic IBC narrative. The commercial question is therefore whether a Belize company fits the ownership, assets and transactions, not whether an old-style offshore company can be formed cheaply.
The FSC confirms that, except where specifically exempted, a Belize company must at all times have a licensed registered agent in Belize. That provider is responsible for an important part of the statutory and compliance interface.
The agent will need to understand the owners, controllers, purpose and source of funds. Provider acceptance should therefore be treated as part of formation rather than an administrative detail dealt with after the company exists.
FSC guidance requires companies to submit beneficial-owner information through the Online Business Registry System and to update it when changes occur. The registered agent also maintains the underlying KYC and control information required by the regulatory framework.
Economic substance, accounting, tax and banking depend on the company's activities and the jurisdictions in which the owners and business operate. Belize incorporation should not be presented as overriding those wider obligations.
We begin with the owners, purpose, assets and expected transactions, then coordinate the licensed registered agent, KYC, beneficial-owner, articles and registry workstreams.
We subsequently identify substance, accounting, tax, banking and any regulatory requirements. The objective is a modern, transparent Belize structure with a defensible international purpose rather than a company built around outdated offshore assumptions.
Coutts Consultants coordinates the Belize registered-agent, ownership, beneficial-owner and compliance workstreams around the client's international purpose.
