Company Formation & Corporate Services
Establish a Croatian d.o.o. with €2,500 capital, ownership, management, Court Register and operating requirements coordinated for the business.
Croatia offers more than an attractive Adriatic location. EU and euro-area membership, improving infrastructure and direct access to the single market have made it a credible base for tourism, property-related activity, services, technology, trading and regional operations. The conventional društvo s ograničenom odgovornošću (d.o.o.) is the private limited company most international investors will recognise.
The formation rules are accessible, but the distinction between the conventional d.o.o. and the €1 simple company matters. A business intended to employ people, contract internationally or build banking credibility will often benefit from choosing the structure and capitalisation that match the operation rather than simply the cheapest route into the register.
Croatia's current government and investment guidance confirms minimum share capital of €2,500 for a conventional d.o.o., with each cash founder paying at least one quarter of the subscribed contribution before registration and the remaining cash contribution completed within the statutory period.
Croatia also offers the simplified j.d.o.o. from €1 for qualifying small formations. That can be useful for a very modest start-up, but its reserve and structural rules make it a different proposition rather than a cheaper version of every d.o.o.
The declaration or articles establish the founders, capital, registered office and management and are submitted for entry in the Court Register. Croatia's START system can make eligible formations more efficient, while notarial involvement remains relevant to the conventional documentation route.
Foreign founders should prepare corporate approvals, identification and ownership documents before filing so that an otherwise efficient registration is not slowed by cross-border formalities.
For a company serving Croatian or wider EU customers, the d.o.o. provides a familiar contracting and employment platform inside the euro area. Activity classification, VAT, accounting, payroll and any sector permissions should therefore be planned alongside the formation.
International groups should also settle funding, management and intercompany arrangements before trading begins. The legal entity becomes commercially useful when those elements tell the same story.
We begin with the shareholders, activity, management, capital and Croatian operating footprint, then coordinate KYC, formation documentation, capital evidence and Court Register workstreams.
After registration we identify classification, tax, VAT, accounting, payroll, licensing and banking requirements. The objective is a properly funded Croatian EU business, not simply the fastest available company registration.
Coutts Consultants coordinates the Croatian d.o.o. capital, ownership, registration and implementation workstreams around the client's actual EU operating plan.
