Company Formation & Corporate Services
Formation of a Czech s.r.o. coordinated around ownership, CZK 1 statutory capital, executives, Commercial Register and business-authorisation requirements.
A Czech společnost s ručením omezeným (s.r.o.) is the country's most common limited-liability company and can provide a practical vehicle for an owner-managed business, Czech subsidiary or wider Central European operation. Its statutory capital requirement is exceptionally low, but a credible business should be financed according to its actual operating needs.
For an international founder, the company agreement, executives, business authorisations, registered office and tax/accounting implementation matter far more than the nominal CZK 1 minimum.
Czech government business guidance confirms that an s.r.o. can be established by one natural or legal person and that minimum registered capital and the lowest contribution can be CZK 1.
Before Commercial Register filing, the contribution premium and the required proportion of cash and in-kind contributions must be paid in accordance with the statutory rules and the founding document. In commercial terms, however, capital should reflect the company's expected costs and working-capital needs.
The company is founded through a memorandum of association or founding deed in the required public-document form and comes into existence on registration in the Commercial Register.
If the s.r.o. is established to conduct business, its executives must ensure that the appropriate trade licence or other business authorisation is obtained. The proposed activities should therefore be settled before the registration process is treated as complete.
The s.r.o. has one or more executives as its statutory body, with the general meeting exercising shareholder powers. The founding document can shape ownership rights, contributions and governance within the statutory framework.
For a foreign shareholder, corporate approvals, beneficial-ownership information, translations and supporting documents should be coordinated alongside tax, VAT, payroll and banking requirements.
We begin with the shareholders, intended activities, executives, funding and Czech operating footprint. We then coordinate the founding documentation, KYC, capital and Commercial Register workstreams with Czech professional providers.
After registration we identify trade-licence, tax, VAT, accounting, payroll and banking requirements. The aim is a properly authorised Czech operating company, not simply a CZK 1 incorporation.
Coutts Consultants coordinates the Czech corporate, ownership, capital and implementation workstreams around the intended business, with local specialist matters referred appropriately.
Confirmed after initial review of ownership, executives, documentation and operating requirements
