Company Formation & Corporate Services
Establish an Egyptian LLC through GAFI with foreign ownership, management, electronic incorporation and operating requirements coordinated.
Egypt offers international investors a market of exceptional scale at the crossroads of Africa, the Middle East and the Mediterranean. Its industrial base, Suez Canal position, consumer economy and growing digital sector can make a local company commercially important for businesses whose strategy genuinely includes Egypt.
The limited liability company is a familiar route for a closely held operating business. GAFI has also modernised the establishment process substantially: since 2023, electronic incorporation of LLCs under the Investment Law has been available through its digital platform, reducing the procedural friction historically associated with company formation.
Egypt's company framework has been reformed repeatedly, and GAFI itself highlights reductions in minimum-capital barriers as part of improving the investment environment. Capital requirements can also differ according to legal route, activity and company type.
For that reason, the current capital requirement should be confirmed for the specific incorporation rather than copied from an old formation guide. Commercially, the company should be funded for premises, staff, imports, contracts and the working cycle of the Egyptian operation.
GAFI's e-incorporation service allows the applicant to select the legal structure, submit company data and documents, pay incorporation fees and execute the constitutional and notarisation documents electronically through the platform.
The digitisation is valuable, but it does not remove the need to settle ownership, managers, business activity and foreign-investor documentation before submission. A fast portal cannot correct a poorly designed investment structure.
An Egyptian LLC can provide local contracting, employment, import/export and commercial capability for a business serving the domestic market or using Egypt as part of a wider regional strategy.
Tax, VAT, payroll, social insurance, customs, banking and sector licences follow the actual activity. Projects in specially regulated sectors or locations can require additional approvals and should be analysed before formation.
We begin with the investors, activity, ownership, management and funding plan, then coordinate KYC and GAFI's electronic incorporation workstreams with Egyptian professionals.
After formation we identify tax, employment, customs, licensing and banking requirements. The objective is an Egyptian company positioned to participate in a major regional market, not simply an electronically incorporated legal entity.
Coutts Consultants coordinates the Egyptian LLC investor, GAFI, ownership and implementation workstreams around the client's actual market-entry plan.
Confirmed after initial review of investors, activity, legal route and operating requirements
