Company Formation & Corporate Services
Establish an Indonesian PT PMA with foreign-ownership, investment, OSS licensing, capital and operating requirements coordinated around the project.
Indonesia is one of the world's largest consumer markets and one of Southeast Asia's most important investment destinations. For an international group that wants to operate directly in the country, the foreign investment company — commonly known as a PT PMA — provides the standard corporate platform.
The opportunity is substantial, but Indonesia is not a jurisdiction where company formation should be separated from investment planning. Foreign ownership, business classification, investment value, capital, location and risk-based licensing all depend on what the company intends to do.
BKPM states that business fields are generally open to 100% foreign ownership except activities subject to specific conditions under the investment list. The reforms opened many sectors that had previously carried foreign-equity restrictions.
That makes the PT PMA significantly more versatile, but the KBLI business classification remains critical. An activity that is open in one classification can carry different conditions in another, so the revenue model should be settled before the corporate application is built.
BKPM's current investment material identifies a minimum capital level of IDR 10 billion for a foreign investment company. Indonesian investment rules also distinguish the broader planned investment value from the capital placed into the company, so the project budget should be reviewed carefully against the applicable rules.
This is not a token-capital regime. A PT PMA is intended for a meaningful foreign investment project, which is one reason it can provide a credible platform for manufacturing, technology, services, distribution and other substantial operations.
The Online Single Submission risk-based system connects business identification and licensing to the company's activities and risk profile. The NIB, sector licences and standards applicable to the business can therefore matter as much as the deed and corporate registration.
Tax, VAT, payroll, social security, immigration, customs and land or premises requirements then follow the project. For foreign executives, work and stay permissions should be planned alongside staffing rather than after the company has been formed.
We begin with the investor, KBLI activities, foreign-ownership position, investment budget and location, then coordinate KYC, corporate formation and OSS workstreams with Indonesian professionals.
After establishment we identify tax, employment, immigration, sector licensing, customs and banking requirements. The objective is a PT PMA structured around the investment Indonesia expects to see, not a company formed before the project has been defined.
Coutts Consultants coordinates the Indonesian PT PMA ownership, investment, OSS and implementation workstreams around the client's actual investment project.
Confirmed after initial review of activity, ownership, investment and licensing requirements
