Company Formation & Corporate Services
Formation of a Latvian SIA with the appropriate capital, ownership and governance structure for Baltic, EU or international business.
Latvia’s standard limited liability company, the SIA, can provide a practical base for genuine Baltic and EU business. For an international owner, however, the important distinction is between the standard SIA and Latvia’s reduced-equity variant. They are not interchangeable structures, and the lower-capital option comes with additional restrictions.
Latvia’s Enterprise Register confirms that a standard SIA is a legal person, can have one or more owners, may be owned by legal persons and may have non-resident owners. Its equity must be at least €2,800.
A reduced-equity SIA can have capital below €2,800, but the ownership conditions are narrower: the official comparison limits it to between one and five natural-person owners and does not permit a legal person to be an owner. For many international groups, holding companies and corporate shareholders, that makes the standard SIA the more relevant starting point.
The €2,800 threshold answers the legal-capital question; it does not answer how much funding the company needs. A Latvian business hiring employees, leasing premises, buying stock or entering meaningful supplier commitments should be capitalised according to those obligations.
We therefore establish the intended activity, shareholder structure and funding model before selecting the formation route. This also allows tax, VAT, employment and any sector-specific requirements to be identified early.
The ability of non-residents to own an SIA makes Latvia accessible to international founders, but ownership and management should still be documented in a way that reflects how the company will actually operate. Beneficial ownership, board authority, signing arrangements and the location of decision-making can all matter to counterparties and professional providers.
Where Latvia is being used as part of a wider group, we also consider how the Latvian company will contract with related entities, where functions are performed and whether the proposed structure creates tax or transfer-pricing questions requiring specialist advice.
Coutts Consultants coordinates the company-formation workstream from initial structuring through the registry and supporting professional requirements. We organise the ownership and KYC information, formation documents and local services required for the agreed structure, and coordinate tax, accounting or legal specialists where the engagement requires them.
We can also assist with introductions for operational banking or payment services. Those services are provided by independent institutions and remain subject to their own compliance and commercial decisions.
The objective is not simply a Latvian registration. It is an SIA with an ownership, governance and operating model that makes sense for the client’s actual Baltic or international business.
Coutts Consultants coordinates the corporate, professional and implementation workstreams around the client’s actual commercial objective, with material legal, tax and regulatory matters referred to appropriately qualified advisers where required.
