Company Formation & Corporate Services
Establish a Mexican S.A.S. through the Secretaría de Economía electronic regime, with shareholder, RFC, governance and operating requirements coordinated.
Mexico can be an exceptionally attractive base for entrepreneurs who want access to one of Latin America's largest consumer markets while remaining closely connected to North American supply chains. For the right founder, the Sociedad por Acciones Simplificada (S.A.S.) offers something unusual in the Mexican corporate landscape: a genuinely streamlined company that can be created electronically without making a notarial process the centrepiece of formation.
That convenience is precisely why the S.A.S. needs to be chosen carefully. It is a purpose-built regime for qualifying individual shareholders and businesses within its statutory scale limits, not a cut-price substitute for every Mexican company. Used in the right circumstances it is elegant and efficient; used for a project that will quickly outgrow it, it can create an unnecessary restructuring exercise.
The Secretaría de Economía's electronic regime allows one or more qualifying natural persons to establish an S.A.S. using the prescribed digital process and SAT electronic signatures. The system can generate the constitutive instrument and coordinate key registration steps, removing much of the ceremony associated with a conventional Mexican incorporation.
The trade-off is eligibility. Corporate shareholders do not fit the basic S.A.S. model, restrictions apply where an individual shareholder participates in or controls other companies in circumstances caught by the legislation, and the form is subject to an annually updated revenue ceiling. A founder expecting institutional investment, a corporate parent or rapid expansion may therefore be better served by choosing a conventional company from the outset.
For a qualifying founder, the S.A.S. can shorten the distance between an idea and a functioning Mexican company. But incorporation is only the legal starting point. The business still needs a coherent activity description, tax registration, accounting, invoicing, banking and, where staff are engaged, payroll and social-security arrangements.
This is where a superficially simple formation can become commercially sophisticated. The ownership, administration and expected growth of the business should be considered before the electronic form is submitted, so that the company being created today still makes sense for the business the founder expects to have tomorrow.
The structure is particularly compelling for a qualifying individual entrepreneur establishing a relatively straightforward Mexican operation and valuing speed, digital administration and limited liability. It is much less compelling where the shareholder will be an overseas company, the ownership is complex, regulated activity is involved or projected revenues make early transformation foreseeable.
Coutts Consultants approaches the S.A.S. from that decision point. We establish whether the simplified regime genuinely fits the client, coordinate the shareholder, e.firma, activity and formation requirements, and then connect incorporation to the RFC, accounting, payroll, banking and licensing workstreams needed to turn the new entity into an operating Mexican business.
Coutts Consultants coordinates the Mexican S.A.S. eligibility, electronic formation, ownership and implementation workstreams around the intended business, with Mexican tax and legal matters referred appropriately.
