Establish a Saudi LLC under the updated investment-registration regime, coordinating foreign ownership, commercial registration and activity requirements.
Saudi Arabia's investment environment has changed at remarkable speed. Vision 2030, the expansion of private-sector opportunities and the updated Investment Law have moved the Kingdom away from the old assumption that foreign investors begin with a conventional licensing model and a Saudi equity partner.
For an international group, the opportunity is now much more nuanced. Foreign investors register with the Ministry of Investment before engaging in investment, and many activities can be undertaken without a local shareholder, while restricted or specially regulated activities retain their own conditions.
The updated law establishes an investor-registration model and requires a foreign investor to register with MISA before engaging in investment activity. Once registration is complete, the investor can proceed to commercial registration and the approvals required by the competent authorities.
MISA's current guidance also makes clear that the need for a Saudi partner depends on the selected activity. This makes activity classification the central structuring question rather than a blanket assumption about local ownership.
Saudi Arabia does not offer one universal capital figure for every foreign-owned LLC. The 2026 Investor Guide ties capital and other conditions to the activity category and identifies available and restricted activities separately.
That is commercially sensible: a professional services business, industrial project and regulated investment activity do not present the same investment profile. We therefore establish the activity and investment route before presenting any capital requirement as applicable.
MISA's current registration process for a foreign establishment can require authenticated corporate documents, recent financial statements and activity-specific supporting material. The investment file therefore says something about the investor as well as the proposed company.
Commercial registration, tax and Zakat, VAT, employment, Saudisation, premises, municipal and sector licences and banking then build the operating company around that investment registration.
We begin with the foreign investor, activity, ownership objective and Saudi operating plan, then coordinate the MISA registration, corporate documentation, KYC and Ministry of Commerce workstreams.
The company is subsequently connected to its tax, employment, Saudisation, licensing, premises and banking requirements. The objective is to use Saudi Arabia's modernised investment regime strategically rather than relying on assumptions formed under the previous system.
Coutts Consultants coordinates the Saudi LLC investment-registration, foreign-ownership, commercial-registration and implementation workstreams around the actual activity.
