Company Formation & Corporate Services
Establish a Serbian DOO with RSD 100 minimum registered capital, ownership, APR registration and operating requirements coordinated around the business.
Serbia has become an increasingly interesting base for businesses serving Southeast Europe, combining a relatively low-cost operating environment with a skilled workforce and commercial links extending beyond the EU. The Društvo sa Ograničenom Odgovornošću (DOO) is the country's standard limited-liability company and works well for both local entrepreneurs and foreign-owned subsidiaries.
Its legal capital threshold is almost symbolic, which makes the company easy to establish but places greater emphasis on commercial judgement. A business should be funded for what it intends to do, not for the smallest amount the Company Law will accept.
Serbia's Business Registers Agency confirms minimum registered capital of RSD 100 for a DOO unless a special law requires more. Contributions can be cash or in kind and, at formation, may be subscribed without being immediately paid in, subject to the deadline set in the memorandum.
That flexibility is useful for structuring, but an international subsidiary expected to employ people, rent premises or trade with customers needs a realistic funding plan. The ease of formation should not produce an undercapitalised operating company.
APR provides the corporate-registration framework and the memorandum establishes members, contributions and management. Since company formation is highly digitised, foreign founders should prepare identification, corporate and signing documentation in a form that works with the Serbian filing process.
The manager and authority arrangements should also reflect who will actually run and bind the company, particularly where the shareholder is an overseas group.
The DOO can be attractive for technology, services, manufacturing, distribution and regional operations where Serbia's workforce and cost base add genuine commercial value. Tax, VAT, payroll, beneficial-owner, licensing and banking obligations then follow the business.
For an international group, intercompany agreements, transfer pricing and funding should be designed before the Serbian entity begins transacting with its parent or affiliates.
We begin with the owners, activity, management, funding and Serbian operating plan, then coordinate KYC, corporate documentation and APR registration.
After formation we identify beneficial-owner, tax, VAT, accounting, payroll, licensing and banking requirements. The objective is to turn Serbia's easy formation regime into a properly funded regional business platform.
Coutts Consultants coordinates the Serbian DOO ownership, RSD 100 capital, APR and implementation workstreams around the intended regional operation.
Confirmed after initial review of ownership, management, registration and operating requirements
