Sweden AB (Private Limited Company) Formation

Sweden

Formation of a Swedish private AB with the required capital and board arrangements established for a genuine Swedish or Nordic operation.

A Swedish private limited company (aktiebolag or AB) is a natural choice for many businesses establishing a genuine Swedish operation. The attraction is not an unusually light corporate regime; it is a familiar limited-liability structure operating within a mature Nordic business environment. That makes the quality of the board, capital plan and local operating arrangements more important than speed of registration.

SEK 25,000 is the starting capital

Sweden’s official business portal confirms that a private AB requires at least SEK 25,000 in share capital. The capital can be contributed in cash or, subject to the applicable valuation requirements, as property useful to the business. Cash formation normally involves a bank certificate confirming that the capital has been paid.

The founders prepare a memorandum of association and articles of association. The company must also maintain a share register. Registration with Bolagsverket creates the registered company, after which tax registrations—including F-tax, VAT and employer registration where applicable—are separate operational steps.

The board must be designed correctly

A private AB must have a board. Where the board has only one or two members, at least one deputy member is also required. A managing director is optional for a private company.

International owners should pay particular attention to residence requirements. Bolagsverket states that at least half of the board members and at least half of deputy members must reside within the EEA; a managing director and deputy managing directors must also be EEA-resident. Exemptions can be applied for, but they are assessed rather than automatic. Where the relevant company representatives are all outside Sweden, a Swedish resident authorised to receive service may also be required.

Registration is only part of Swedish establishment

Before forming the company, we establish the owners, board composition, activity, funding, staffing intentions and expected Swedish presence. That determines whether the proposed AB is operationally credible and identifies the tax, payroll, accounting, beneficial-owner and permit workstreams that need to follow.

The distinction is important for an overseas group. A Swedish subsidiary can be an effective local contracting and employment platform, but its role within the group, decision-making and intercompany arrangements should be understood rather than left to develop accidentally.

How Coutts Consultants assists

Coutts Consultants coordinates the corporate formation and the supporting ownership, KYC and governance documentation, working with appropriate Swedish professionals where local regulated or specialist work is required. We can coordinate subsequent tax and accounting implementation and introduce independent banking or payment providers where requested.

The objective is a Swedish AB built for the activity it will actually conduct, with the board, capital and compliance framework resolved before they become post-incorporation problems.
