Company Formation & Corporate Services
Establish a Taiwan company limited by shares with foreign-investment approval, capital verification, governance and operating requirements coordinated.
Taiwan offers international businesses something unusually valuable in Asia: a sophisticated technology and manufacturing economy, strong intellectual-property capability and deep integration into global supply chains. A company limited by shares can provide a familiar platform for an overseas group that expects a developed shareholder structure, future investment or a substantial Taiwanese operation.
For foreign investors, incorporation is only part of the establishment process. The investment itself normally needs approval under Taiwan's foreign-investment framework, and the capital, business scope, ownership and banking arrangements should be designed around that sequence.
Taiwan's investment regime requires foreign investors to obtain approval for qualifying investment and then remit and verify the investment funds through the prescribed process. The proposed business must also be checked against activities restricted or prohibited to foreign investors.
This makes the investment application more than an administrative add-on. The shareholder, amount invested and intended business should be settled before the company documents and capital movements are treated as routine.
Taiwan does not impose a general fixed minimum capital for an ordinary company limited by shares, but the company must have sufficient capital for its establishment and intended activity, and particular industries can impose their own thresholds.
For a technology, trading or manufacturing subsidiary, the funding plan should therefore reflect staffing, premises, equipment and working capital. A deliberately underfunded company can undermine banking and operating credibility even where company law permits it.
A company limited by shares provides a conventional equity structure suitable for multiple shareholders and more developed governance. For a closely held foreign-owned operation, a Taiwan limited company may also deserve comparison before the share-company form is selected.
Tax, VAT, payroll, labour insurance, sector permits and banking then turn the registered entity into an operating Taiwanese business. For international groups, transfer pricing and intercompany agreements should be addressed before transactions begin.
We begin with the investor, activity, ownership, capital and governance requirements, then coordinate the foreign-investment approval, KYC, capital-verification and corporate-registration workstreams.
After establishment we identify tax, VAT, payroll, employment, licensing and banking requirements. The objective is to use Taiwan's corporate platform to support a genuine Asian operation, not simply to obtain a registration certificate.
Coutts Consultants coordinates the Taiwan foreign-investment, capital, governance and registration workstreams around the client's intended Asian operation.
Confirmed after initial review of investor, activity, capital and approval requirements
