Assess and coordinate UAE Corporate Tax Group eligibility, ownership, accounting alignment and FTA registration for qualifying groups.
For a UAE group with several resident companies, corporate-tax grouping can turn multiple taxable persons into a single tax unit. That can simplify compliance and allow profits and losses within the group to be dealt with on a consolidated basis, but the election is only available where the statutory ownership and other conditions are met.
The decision should be commercial as well as administrative. A tax group changes how liabilities, losses, transactions and compliance are managed across the companies, so it deserves more analysis than simply confirming that the parent owns the subsidiaries.
FTA guidance states that the resident parent must own, directly or indirectly, at least 95% of the capital and voting rights in each subsidiary, together with the required entitlement to profits and net assets under the Corporate Tax rules.
A group with minority investors or joint ventures may therefore need to exclude those entities or consider other reliefs rather than assuming the entire corporate chart can be grouped.
The FTA confirms that a tax group cannot include an exempt person or a Qualifying Free Zone Person benefiting from the free-zone 0% regime. Members must also align their financial year and accounting standards.
For mixed mainland/free-zone groups, the interaction between QFZP status and tax grouping can therefore become a strategic choice rather than a purely mechanical eligibility test.
The parent becomes responsible for the tax-group filing framework, and accounting information from the member companies must be capable of supporting the consolidated position. Intercompany balances and transactions need to reconcile properly.
The group should also consider what happens if ownership changes, a subsidiary is sold or a new entity is acquired after the tax group is established.
We map ownership, tax status, financial years and accounting standards across the group, then coordinate the eligibility analysis with qualified UAE tax advisers.
Where grouping is appropriate, the FTA application and accounting implementation are coordinated together. The objective is a tax group that genuinely simplifies the corporate-tax position rather than creating a consolidated compliance problem. Tax grouping can also alter the practical treatment of transactions between members and the use of tax losses, making the decision relevant to group planning as well as filing efficiency. The expected stability of the ownership structure should therefore be considered before the election is made.
