Trusts, Foundations & Private Wealth
Structure UAE family-business ownership, governance and succession around the federal family-business framework and the family's long-term objectives.
The UAE has moved family-business succession from a largely private contractual issue into a more developed statutory framework. Federal Decree-Law No. 37 of 2022 on Family Businesses provides tools intended to support continuity across generations while allowing families to formalise ownership, governance and decision-making.
For a successful family enterprise, this matters because the greatest risks often appear at transition points: the founder steps back, ownership spreads across siblings or cousins, some family members work in the business and others do not, or a major asset needs to be sold. Good governance addresses those questions while relationships are still strong.
Before choosing holding companies, share classes or governance bodies, the family needs clarity about ownership, leadership, employment, distributions and succession. Different branches may have different expectations about liquidity and involvement.
A legal structure can enforce agreed rules, but it cannot substitute for agreement on the principles themselves. The strongest projects therefore combine family discussion with corporate and legal implementation.
The federal law provides a dedicated framework for qualifying family businesses and recognises mechanisms intended to support continuity, governance and transfer of ownership. The exact route depends on the company's jurisdiction, ownership and whether the family chooses to use the statutory regime.
The UAE also continues to develop its family-business legislation, including further Cabinet decisions in 2026. Current specialist advice is therefore important when deciding which protections or registrations are available.
Boards, family councils, reserved matters, dividend policies, transfer restrictions and succession mechanisms can all reduce uncertainty when control moves from one generation to the next.
For international families, wills, foundations, trusts, tax residence and assets outside the UAE may also interact with the business structure. Those workstreams need coordination rather than isolated documents prepared in different jurisdictions.
We begin with the family tree, ownership, business assets, management roles and succession objectives, then develop a governance and ownership roadmap with the family's legal and tax advisers.
Corporate restructuring, shareholder arrangements and relevant UAE family-business mechanisms are implemented only after the principles are agreed. The objective is a business capable of surviving generational change without losing either commercial agility or family control.
