Company Formation & Corporate Services
Assess moving a Dubai business between free zones or into another UAE structure, coordinating legal continuity, licences, visas, tax and contracts.
A Dubai company can outgrow the free zone in which it started. The business may need a different office footprint, more suitable activities, stronger industry positioning or a mainland presence, while the owners would prefer not to disrupt customers, employees and contracts unnecessarily.
There is no universal 'transfer free zone' button. Depending on the authorities involved, the solution may be continuation, redomiciliation, new-company formation followed by business transfer, or a wider group restructuring. The correct route starts with what must be preserved.
Cost, activity restrictions, office requirements, customer access and investor expectations are different migration problems. The destination should be selected against the underlying issue rather than merely offer a cheaper renewal.
A move that saves licence fees but weakens banking or customer access is not necessarily an improvement.
Some UAE jurisdictions provide continuation or redomiciliation mechanisms, while other moves require a new entity and transfer of business, assets or contracts.
The legal identity, company number, history and contractual position should therefore be checked before anyone promises that the business can simply migrate unchanged.
Employees and residence visas, leases, tax registrations, VAT, bank mandates and customer/supplier contracts can all be tied to the existing entity or licence.
The migration timetable should preserve operations while the new structure becomes capable of trading. Where assets or shares move, specialist tax/legal advice should precede implementation.
We identify why the business wants to move, what must be preserved and which destination solves the problem, then compare continuation with new-entity/restructuring alternatives.
Authority, tax, legal, visa and operational workstreams are sequenced into a transition plan. The objective is a better Dubai/UAE structure without sacrificing the business continuity the company has already built.
Coutts Consultants coordinates Dubai free-zone migration and licence-transition analysis around the business reasons for moving and the continuity that needs to be preserved.
Dependent on current/destination authorities and whether legal continuation is available
