Company Formation & Corporate Services
Establish a Dubai mainland LLC with DET licensing, foreign ownership, premises, beneficial-owner and tax requirements coordinated around the business.
Dubai has become one of the world's most recognisable places to establish an international business, but the strength of the proposition lies in the ecosystem rather than the speed of obtaining a licence. A mainland LLC can place a company directly inside a market built around trade, professional services, technology, logistics, tourism and regional headquarters activity.
For many activities, foreign investors can own the mainland company outright. The commercial decision is therefore no longer simply “mainland versus local partner”; it is whether a Dubai mainland licence, a free-zone company or another UAE structure best fits where the business will trade, employ people and maintain premises.
A Dubai mainland LLC is licensed through the Dubai Department of Economy and Tourism and can conduct the activities approved on its licence within the mainland framework. For many activities, 100% foreign ownership is available under the UAE's modern company-law regime.
This can make mainland particularly attractive for businesses serving UAE customers directly, taking offices or retail premises, tendering locally or building a substantial Dubai workforce. A free-zone structure may still be preferable where the business model and incentives point elsewhere.
Dubai offers a very broad catalogue of commercial and professional activities, each carrying its own licensing and, where relevant, external-approval requirements. The activity selection should describe the real revenue-generating business rather than simply maximise the number of lines on the licence.
Premises requirements, manager qualifications and approvals from sector authorities can follow that choice. Getting the activity right at the beginning can prevent expensive amendments after the company has started onboarding banks or customers.
The introduction of UAE corporate tax means a Dubai company should be established with accounting, related-party and tax compliance in mind from day one. VAT, beneficial ownership, payroll, immigration and banking add further operational layers.
This does not diminish Dubai's attraction; it strengthens the case for treating it as a genuine business jurisdiction. Companies with people, management and commercial activity in Dubai can now present a much more credible proposition than the old image of a licence used remotely.
We begin with the business model, mainland-versus-free-zone decision, activity, ownership, premises and staffing plan, then coordinate DET licensing, KYC, beneficial ownership and formation.
After licensing we connect the company to corporate tax, VAT, accounting, immigration, payroll and banking. The objective is to create a Dubai business positioned to use the city's commercial advantages rather than simply acquire another UAE licence.
Coutts Consultants coordinates the Dubai mainland LLC structure, DET activity, foreign-ownership and implementation workstreams around the client's actual market strategy.
