Company Formation & Corporate Services
Transition a qualifying UK trading company to Employee Ownership Trust control with valuation, trustee, funding, governance and current tax rules coordinated.
Employee ownership can provide a compelling succession route for a profitable UK business whose owners want continuity, an independent future and meaningful employee participation without selling to a trade buyer or private-equity investor. An Employee Ownership Trust takes that idea further by holding a controlling interest in the company for the benefit of the workforce as a whole.
The tax landscape changed materially in November 2025. Qualifying EOT disposals no longer receive the former 100% immediate Capital Gains Tax relief: for disposals on or after 26 November 2025, 50% of the gain is treated as the seller's chargeable gain, while the remaining 50% is held over through an adjustment to the trustees' acquisition cost and can come into charge on a later disposal. That makes commercial valuation, funding and succession objectives even more important than simply pursuing a tax incentive.
A qualifying EOT holds a controlling shareholding and the trustees exercise that control for the benefit of all eligible employees. The structure is therefore fundamentally different from handing shares to a small group of senior managers.
Employee engagement should also be real. Councils, employee directors or other participation mechanisms can complement trustee ownership and help ensure the transition changes the relationship between workforce and business rather than merely the name on the share register.
HMRC confirms that for qualifying disposals on or after 26 November 2025, 50% of the gain is treated as chargeable for CGT purposes. The other 50% is not charged at the time of the sale; instead, it is held over by reducing the trustees' acquisition cost, so it can crystallise on a subsequent disposal. Older material describing a fully CGT-free sale is therefore obsolete.
Other EOT conditions have also been tightened in recent reforms, including trustee residence and safeguards around vendor control and market value. Current advice is essential before heads of terms are agreed.
Many EOT transactions rely on company cash, external finance and deferred consideration rather than the trust paying the entire price on day one. The valuation and repayment profile need to leave the trading company with enough cash to invest and operate.
Former owners must also consider what role, if any, they retain after completion. A successful transition balances continuity and knowledge transfer with the requirement that employee ownership is genuine.
We begin with the owners' succession objectives, company profitability, workforce, valuation expectations and funding capacity, then coordinate specialist tax, legal, valuation, trustee and financing workstreams.
The transaction is designed around current 2026 rules rather than historic tax marketing. The objective is a sustainable employee-owned company whose purchase price, governance and funding can be supported by the business after the founders step back.
Coutts Consultants coordinates the UK EOT succession, valuation, trustee, funding and implementation workstreams around the owners' objectives and the company's long-term sustainability.
