Company Formation & Corporate Services
Establish a UK property SPV company with ownership, SIC activity, funding, lender and tax considerations coordinated before acquisition.
A property special purpose vehicle is usually an ordinary UK private limited company whose purpose and activity are deliberately kept focused on holding or conducting a defined property business. For investors building a portfolio, joint venture or development structure, that separation can make ownership, finance and accounting considerably clearer than acquiring property through an unrelated trading company.
The attraction is commercial rather than cosmetic. Lenders frequently assess SPV borrowers differently from general trading companies, and keeping property assets inside a dedicated vehicle can simplify due diligence and risk separation. The company still needs to be structured around the particular property strategy rather than a generic 'buy-to-let company' label.
A company holding residential investment property, developing land and operating serviced accommodation may require different SIC classifications, funding and tax analysis. The company's stated activities should reflect what it will actually do.
That distinction can matter to lenders and insurers as well as Companies House. A clean SPV history and focused activity can make the vehicle easier to understand during financing or a later sale.
The shareholders, share classes, director arrangements and source of deposit should be settled before an offer or mortgage application reaches an advanced stage. Introducing investors after a property transaction has begun can complicate lender underwriting and tax analysis.
Funding may combine equity and shareholder loans, but the documentation and tax treatment should be considered properly. Where several investors participate, governance and exit provisions deserve the same attention as the property itself.
Corporation Tax, SDLT, VAT, interest deductibility, distributions and eventual gains can all be relevant depending on the asset and strategy. Residential property, commercial property and development activity do not produce identical tax outcomes.
The SPV should therefore be established alongside property and tax advice rather than on the assumption that company ownership is always superior to personal ownership.
We begin with the property strategy, investors, expected finance and acquisition timetable, then coordinate ownership, share structure, SIC activities, KYC and Companies House formation.
We also align the vehicle with lender, banking, accounting and tax workstreams before completion. The objective is a clean property company designed around the transaction and portfolio strategy, not merely a company with a property-related name.
Coutts Consultants coordinates the UK property SPV ownership, activity, funding and formation workstreams around the client's acquisition and portfolio strategy.
